Acceptance of Terms

By accessing or using the website located at https://positioned.app (including all linked pages), our mobile applications, and any related services (collectively, “Positioned” or the “Services”), you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must immediately discontinue use of the Services.

The Services are owned and operated by Positioned Pte. Ltd. (“Positioned,” “we,” “us,” or “our”), a company incorporated in Singapore.

These Services are available to users globally. You are solely responsible for ensuring that your use of our Services complies with all applicable local, national, and international laws and regulations in your jurisdiction. Positioned Pte. Ltd. makes no representation that the Services are appropriate or available for use in any particular jurisdiction.

1. Changes to These Terms

Positioned Pte. Ltd. reserves the right to modify these Terms at any time, in its sole discretion, without prior notice to you. Changes will be effective immediately upon posting of the revised Terms, and the “Last Updated” date will be updated accordingly. It is your sole responsibility to review these Terms periodically.

Your continued use of the Services following any changes constitutes your binding acceptance of such changes. If you do not agree with any modification, you must discontinue use of the Services immediately.

2. Changes to Services

We reserve the right, at any time and without prior notice or liability, to discontinue, modify, suspend, limit, or change any service, feature, functionality, or content on Positioned in our sole discretion. We do not guarantee backward compatibility with previous versions or continuity of any feature or service.

We may introduce new features, restrict access to certain features, or require additional fees for features that were previously available at no charge. We are under no obligation to maintain, support, or update any aspect of the Services.

3. Account Registration and Use

3.1 Account Creation

To access certain features of our Services, you must create an account by providing your email address and password, or by authenticating through a supported third-party provider (such as Google, Apple, or other services). You may maintain only one active account per person. Creating multiple accounts may result in the suspension or termination of all your accounts without refund or compensation.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Immediately notify us of any unauthorised use of your account at security@positioned.app
• Not share your account with others or allow others to access your account

Positioned Pte. Ltd. shall not be liable for any loss, damage, or liability arising from your failure to maintain account security or from any unauthorised access to your account.

3.3 Account Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities. This list is non-exhaustive, and Positioned Pte. Ltd. reserves the right to determine, in its sole discretion, what constitutes a violation:

• Using automated data collection methods, including scripts, APIs, screen scraping, data mining, robots, spiders, or crawlers to access or collect data from our Services without express written authorisation
• Circumventing or attempting to bypass any protective measures, security features, rate limits, or access restrictions implemented on our Services
• Reverse engineering, decompiling, disassembling, or creating derivative works from any part of our Services
• Copying, downloading, reproducing, redistributing, or sublicensing any content or data from our Services without express written permission
• Using our Services for any illegal purpose or in violation of any applicable laws or regulations
• Transmitting viruses, malware, or any other malicious code
• Interfering with or disrupting the integrity, performance, or availability of our Services or the data contained therein
• Attempting to gain unauthorised access to our Services, systems, networks, or other user accounts
• Impersonating any person or entity, or falsely representing your affiliation with any person or entity
• Harassing, threatening, defaming, or otherwise violating the legal rights of others
• Using our Services to distribute unsolicited promotional or commercial content (spam)
• Collecting or storing personal information about other users without their express consent
• Using information obtained from the Services to provide competing services or to undermine the Services

Violation of these prohibitions may result in immediate termination of your account without refund, legal action, and full liability for damages.

5. Intellectual Property Rights

5.1 Ownership

All rights, title, and interest in and to the Services—including but not limited to software, source code, text, graphics, logos, icons, images, audio clips, video clips, data compilations, algorithms, and the design, selection, and arrangement thereof—are the exclusive property of Positioned Pte. Ltd. or its licensors, and are protected by applicable intellectual property laws.

The “Positioned” name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Positioned Pte. Ltd. You may not use such marks without our prior written permission.

5.2 Limited Licence

Subject to your strict compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use our Services for your personal, non-commercial use only. This licence does not include any right to: (a) resell or commercially exploit our Services or any content therein; (b) create derivative works from our Services; (c) download, copy, or distribute content except as expressly permitted; or (d) use data mining, robots, or similar data gathering tools.

5.3 User-Generated Content

If you post, upload, or submit any content to our Services (“User Content”), you grant Positioned Pte. Ltd. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media or distribution channels. You represent and warrant that you own or have the necessary rights to grant this licence and that your User Content does not violate any third-party rights or applicable laws.

5.4 Third-Party Data Provider Content

Certain market data and other information provided through our Services may be licensed from third-party data providers. This content is subject to restrictions imposed by those providers and is made available for display purposes only within our Services. You may not download, reproduce, redistribute, or create derivative works from this data without express written consent from both Positioned Pte. Ltd. and the relevant data providers.

6. Subscription Services and Billing

6.1 Premium Services

Certain features and content may be available only through paid subscription services (“Premium Services”). When you subscribe to Premium Services, you agree to pay the subscription fees as presented at the time of purchase, plus any applicable taxes.

6.2 Free Trials

We may offer free trial periods for certain Premium Services. Free trials are limited to one per user. If you do not cancel before the end of the trial period, you will be automatically charged for the applicable subscription at the then-current rate.

6.3 Automatic Renewal

Premium Services subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. You will be charged at the then-current subscription rate. We reserve the right to adjust pricing at any time, with reasonable advance notice.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@positioned.app. Cancellation will take effect at the end of your current billing period, and you will retain access to Premium Services until that time.

Important: Uninstalling the mobile application does not cancel your subscription. You must follow the cancellation procedures described above or cancel through the applicable app store.

6.5 Refund Policy

All subscription fees are generally non-refundable. Refunds may be considered at the sole and absolute discretion of Positioned Pte. Ltd. on a case-by-case basis. Any refund requests must be submitted to support@positioned.app.

Users who initiate chargebacks, disputes, or claims with their payment provider without first contacting us may have their accounts immediately terminated without refund, and Positioned Pte. Ltd. reserves the right to pursue recovery of any amounts owed.

6.6 Payment Processing

Payment processing is handled by third-party payment processors. By subscribing to Premium Services, you authorise us (or our designated payment processor) to charge your selected payment method for all applicable fees. Positioned Pte. Ltd. is not responsible for errors, delays, or failures caused by third-party payment processors.

7. No Financial or Investment Advice

Positioned provides access to publicly available financial data, market information, news aggregation, analytical tools, and educational content. By using the Services, you expressly acknowledge and agree that:

• No information provided through our Services constitutes a recommendation, solicitation, or offer to buy, sell, or hold any security, investment product, or financial instrument
• We do not provide personalised investment advice or recommendations tailored to your individual financial circumstances, objectives, or risk tolerance
• Past performance data, historical information, backtested strategies, and any analytical output do not guarantee, predict, or reliably indicate future results
• All investment and trading decisions are made entirely at your own risk, and you are solely responsible for evaluating the merits and risks of any transaction or strategy
• You should consult with qualified, licensed financial, legal, and tax professionals before making any investment or financial decisions
• Data, analytics, and content presented through the Services may contain errors, omissions, delays, or inaccuracies, and Positioned Pte. Ltd. does not warrant their completeness, accuracy, or timeliness
• Positioned Pte. Ltd. shall bear no liability whatsoever for any investment decisions or actions you take, or refrain from taking, based on any information obtained through the Services

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Positioned Pte. Ltd. expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranties regarding the accuracy, reliability, timeliness, or completeness of any content, data, or information
• Any warranties that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components
• Any warranties regarding the quality, suitability, or reliability of any information obtained through the Services
• Any warranties that the results obtained from the use of the Services will be accurate, reliable, or meet your expectations

No advice or information, whether oral or written, obtained from Positioned Pte. Ltd. or through the Services shall create any warranty not expressly stated in these Terms.

Certain jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions shall apply to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSITIONED PTE. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Services
• Any investment, trading, or financial decisions made, or actions taken or not taken, based on information obtained through the Services
• Any unauthorised access to or alteration of your data or account
• Any interruption, suspension, or cessation of the Services
• Any bugs, viruses, trojan horses, or similar harmful components transmitted through the Services by any third party
• Any errors, omissions, or inaccuracies in any content or data
• The conduct or content of any third party on or accessed through the Services
• Any reliance placed by you on the completeness, accuracy, or existence of any content or data

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF POSITIONED PTE. LTD. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO POSITIONED PTE. LTD. FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).

These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Positioned Pte. Ltd. has been advised of the possibility of such damages.

Certain jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Positioned Pte. Ltd., its directors, officers, employees, agents, partners, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any rights of any third party
• Your User Content or any content you post or share through the Services
• Any investment or financial decision you make based on information obtained through the Services
• Your breach of any representation, warranty, or covenant made in these Terms

We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with our defence of such claims. You shall not settle any claim without our prior written consent.

11. Third-Party Links and Content

Our Services may contain links to third-party websites, services, or applications that are not owned or controlled by Positioned Pte. Ltd. We have no control over, and assume no responsibility for, the content, accuracy, privacy practices, or policies of any third-party websites or services. The inclusion of any link does not imply endorsement, approval, or recommendation by Positioned Pte. Ltd.

You acknowledge and agree that Positioned Pte. Ltd. shall not be responsible or liable, directly or indirectly, for any damage, loss, or liability caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services. Your use of third-party services is entirely at your own risk.

12. Account Termination and Suspension

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us at support@positioned.app. Upon termination, certain information may be retained as required by law or for legitimate business purposes, in accordance with our Privacy Policy.

12.2 Termination by Us

We may, without prior notice and in our sole and absolute discretion, immediately terminate, suspend, or restrict your access to your account and the Services for any reason, including but not limited to:

• Breach or violation of these Terms or any applicable laws
• A legal or regulatory requirement or court order
• Discontinuation or material modification of the Services
• Extended account inactivity
• Suspected fraudulent, illegal, or harmful activity
• Security or technical concerns
• Any other reason at our sole discretion

All terminations, suspensions, and restrictions are made at the sole discretion of Positioned Pte. Ltd., and we shall not be liable to you or any third party for any such action.

12.3 Effect of Termination

Upon termination of your account: (a) your right to use the Services will immediately cease; (b) we may delete your data and User Content from our servers; and (c) we shall have no obligation to maintain, provide, or return any data or information you stored on our Services. Termination does not relieve you of any obligations incurred prior to termination, including any payment obligations or indemnification obligations.

13. Electronic Communications

By creating an account and using our Services, you consent to receive electronic communications from Positioned Pte. Ltd., including service-related notices, account information, security alerts, and, with your consent, marketing materials. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of promotional communications at any time by following the unsubscribe instructions in those communications or by updating your preferences in your account settings.

14. Feedback and Suggestions

If you provide us with any feedback, suggestions, ideas, or proposals (“Feedback”), you agree that: (a) your Feedback does not contain confidential or proprietary information of any third party; (b) Positioned Pte. Ltd. is under no obligation of confidentiality with respect to the Feedback; (c) Positioned Pte. Ltd. may freely use, disclose, reproduce, licence, or otherwise distribute and exploit the Feedback for any purpose without restriction, compensation, or acknowledgment to you; and (d) you irrevocably waive any and all rights, claims, or interests in such Feedback.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

15.2 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first contact us at legal@positioned.app and attempt to resolve the dispute informally for a period of at least thirty (30) days before initiating any formal proceedings.

15.3 Arbitration

If the dispute cannot be resolved informally, you agree that any dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC then in force. The seat of arbitration shall be Singapore. The tribunal shall consist of a single arbitrator. The language of the arbitration shall be English.

To the fullest extent permitted by applicable law, you agree to waive any right to a trial by jury and any right to participate in a class action, collective action, or representative proceeding.

15.4 Jurisdiction

Subject to the arbitration provision above, you irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Singapore for any legal proceedings related to these Terms or the Services.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and any additional terms you agree to when using specific features of our Services, constitute the entire agreement between you and Positioned Pte. Ltd. regarding the Services and supersede all prior and contemporaneous agreements, understandings, and representations.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Positioned Pte. Ltd.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Positioned Pte. Ltd. We may assign our rights and obligations under these Terms without restriction and without notice to you.

16.5 Force Majeure

Positioned Pte. Ltd. shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, labour disputes, government actions, power failures, internet or telecommunications failures, cyberattacks, or any other event beyond our reasonable control.

16.6 Survival

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.
